Terms of Service

1. Welcome to Kindly

Kindly (“the Platform”) is operated by SitterSync Inc. (“we,” “us,” or “our”). Kindly is a closed-community marketplace where members of churches and other organizations post needs, share offers, and connect with one another. By creating an account or using Kindly in any way, you agree to these Terms of Service (“Terms”). If you do not agree, please do not use the Platform.

These Terms apply to all users of Kindly, including members, providers, group administrators, and organization accounts.

2. Eligibility

You must be at least 18 years old to create an account on Kindly. If you are between 13 and 17, you may use the Platform only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Children under 13 may not use Kindly.

Kindly is a closed-community platform. You may only join by entering a valid group code provided by an organization or group administrator. Possession of a group code does not guarantee access; we reserve the right to deny or revoke access at our discretion.

3. Your Account

When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You may belong to multiple groups simultaneously. Your profile information (name, email, avatar, bio, and optional fields like phone number and location) is visible to other members within your groups. You can update or remove optional profile information at any time from your account settings.

Do not share your account credentials with anyone or allow others to access your account. Notify us immediately if you suspect unauthorized access.

4. What Kindly Is (and Isn’t)

Kindly is a connection platform. We help community members discover each other’s needs and offers and facilitate communication between them. We do not employ, endorse, vet, or guarantee any member, provider, or organization on the Platform.

Kindly is not a party to any transaction, exchange, or arrangement made between members. When you respond to a post, schedule a service, give or receive an item, or otherwise interact with another member, that arrangement is solely between you and the other party.

We are not responsible for the quality, safety, legality, or availability of any goods, services, or assistance offered or requested through the Platform.

5. User Conduct

By using Kindly, you agree to:

  • Treat all community members with respect and good faith.
  • Post only truthful, accurate content. Do not misrepresent your identity, qualifications, or the nature of your needs or offers.
  • Respond to commitments in a timely manner. If you agree to help someone or accept an offer, follow through or communicate promptly if circumstances change.
  • Respect the privacy of other members. Do not share messages, profile information, or personal details outside the Platform without consent.
  • Do not share group codes publicly or with individuals outside your community without authorization from a group administrator.

You agree not to:

  • Use the Platform for any illegal purpose or to facilitate illegal transactions.
  • Post fraudulent, misleading, or deceptive content, including fake needs or scam offers.
  • Harass, threaten, or discriminate against any member.
  • Post spam, solicitations, or commercial advertising unrelated to community exchange.
  • Use Kindly to request, offer, or charge money for goods or services as a primary purpose. Kindly is a free need/offer marketplace. Mentioning a price between two parties for a one-time arrangement is permitted, but the Platform is not a paid-services marketplace and posts that primarily solicit or advertise paid work may be removed.
  • Use direct messages for harassment, threats, sexual solicitation, scams, phishing, blackmail, or to coordinate illegal activity.
  • Attempt to circumvent the Platform’s security, scrape data, or interfere with its operation.
  • Upload content that is obscene, hateful, or violates another person’s rights.
  • Create multiple accounts to evade bans or restrictions.

Violations may result in content removal, account suspension, or permanent termination at our discretion.

6. User-Generated Content

You retain ownership of the content you post on Kindly, including posts, messages, reviews, photos, and profile information (“Your Content”). By posting content on the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute Your Content solely for the purpose of operating and improving Kindly. This license ends when you delete Your Content or your account, except where Your Content has been shared with others and they have not deleted it.

You are solely responsible for Your Content. You represent that you have the right to post it and that it does not violate any law or infringe any third-party rights.

We may remove or moderate content that violates these Terms or our community standards. Group administrators may also flag or remove posts within their groups.

7. Automated Features and Safety Review

Kindly uses automated technology, including third-party services, to improve your experience and protect the community. When you post a need or offer, your content is processed to:

  • Categorize your post (e.g., Transportation, Services, Meals).
  • Detect urgency and extract relevant details (budget, location, timing).
  • Match your post with relevant offers, needs, or provider profiles.
  • Generate suggested response templates to help you communicate.
  • Moderate content for community safety based on rules set by your group’s organization.

Direct messages are reviewed for safety. To protect members — especially in a community that includes families, children, and vulnerable adults — messages sent through Kindly are scanned by an automated safety system. The scan flags messages that appear to involve harassment, threats, sexual solicitation, scams, attempts to extract money or credentials, sharing of third-party personal information without consent, or coordination of illegal activity. Flagged messages are reviewed by Kindly staff. Normal coordination, casual conversation, and faith-based content are not flagged.

Some automated features are powered by third-party services (currently Anthropic’s Claude API). Content sent to these services for processing is governed by the third party’s privacy and data-handling terms. We do not sell your message content, and we do not use your private messages to train AI models. Suggestions and moderation outcomes are recommendations only and are not guaranteed to be accurate; you always have the ability to review, edit, or appeal them.

8. Organization and Group Administrator Roles

Organizations (such as churches) subscribe to Kindly and create communities on the Platform. Group administrators manage groups within those communities. Important clarifications:

  • Organizations and group administrators are not responsible for the actions, conduct, or exchanges of individual members.
  • Group administrators can view member lists and aggregate analytics but cannot access private messages or transaction details between members.
  • Organization-posted needs and offers carry the organization’s name but do not create an employer-employee or agency relationship with any member who responds.
  • By joining a group, you acknowledge that the organization facilitating that group is not a party to, and bears no liability for, any interaction or exchange you have through Kindly.

9. Money, Payments, and Transactions

Kindly is built as a free need/offer marketplace. The Platform is designed for neighbors helping neighbors without expectation of payment. We strongly encourage members to give and receive freely.

If two members nevertheless agree to a price for an item, service, or arrangement, that agreement is strictly between those two members. Kindly is not a party to it, does not process payments, holds no funds, and is not a payment platform, escrow service, employer, or marketplace operator within the meaning of any consumer-protection or marketplace-facilitator law.

You alone are responsible for: setting and honoring any price; the quality, safety, legality, and timeliness of the exchange; tax reporting, withholding, and any required licenses or insurance; and any dispute, refund, injury, loss, or damage arising from the arrangement. Kindly bears no liability for any of the foregoing, regardless of whether a payment is involved.

Posts that primarily solicit paid work, advertise rates as a business, or use Kindly to drive transactional commerce may be removed. See Section 5.

If payment features are introduced in the future, additional terms governing transactions, fees, and disputes will be published and will become part of these Terms.

10. Disclaimers

Kindly is provided “as is” and “as available.” We make no warranties, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

You use Kindly at your own risk. You are responsible for evaluating the trustworthiness of other members and the suitability of any exchange before proceeding.

11. Limitation of Liability

To the maximum extent permitted by applicable law, SitterSync Inc., its officers, employees, agents, and affiliates shall not be liable for any damages whatsoever — including direct, indirect, incidental, special, consequential, or punitive damages — arising from or related to your use of or inability to use Kindly.

This includes, without limitation, damages arising from: any exchange, transaction, or interaction with another member; personal injury or property damage; reliance on AI-generated content, matches, or suggestions; loss of data or unauthorized access; or actions or omissions of organizations, group administrators, or other members.

Kindly is a free community connection tool. You acknowledge that we provide this Platform at no cost to individual members and that this limitation of liability reflects that arrangement. You assume all risk associated with your use of the Platform and any interactions with other members.

12. Indemnification

You agree to indemnify and hold harmless SitterSync Inc., its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising from: (a) your use of the Platform, (b) Your Content, (c) your violation of these Terms, or (d) any exchange or interaction with another member.

13. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your account at any time, with or without cause or notice, including for violation of these Terms. Group administrators may also remove members from their groups.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will survive.

14. Dispute Resolution

We encourage you to contact us first at hello@servekindly.com to resolve any disputes informally.

If we cannot resolve a dispute informally, you and SitterSync Inc. agree to resolve any claims relating to these Terms or the Platform through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration will take place in the state of Texas. You agree to arbitrate on an individual basis only — class actions and class arbitrations are not permitted.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Platform or by email. Your continued use of Kindly after changes take effect constitutes acceptance of the updated Terms.

16. General

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SitterSync Inc. regarding Kindly.
